Terms of Service
Effective Date: January 1, 2025
These Terms of Use (“Terms”) outline your legal rights, responsibilities, and obligations. Please read them carefully. Section 8 contains an arbitration agreement and a waiver of class action rights, which affect how disputes between you and Insellerate, LLC are resolved. NOTE: OUR PLATFORM IS INTENDED FOR USE ONLY WITHIN THE UNITED STATES. USE OUTSIDE THE U.S. IS PROHIBITED.
These Terms form a binding legal agreement (“Agreement”) between you and Insellerate, LLC for the AgentConnect service (“AgentConnect”), and govern your access to and use of our website, including all related subdomains, mobile apps, smart device interfaces, APIs, and any other products or services we offer (together referred to as the “AgentConnect Platform”). Details on how we collect and use your personal data are outlined in our Privacy Policy.
Agreement Acceptance
You agree to these Terms by doing one of the following: (1) clicking to accept, (2) agreeing to another contract that incorporates these Terms, (3) registering an account, or (4) accessing or using the platform in any way. If you're accepting on behalf of a business or organization under an Enterprise Contract, you confirm you have authority to bind that entity and its users. In that case, “you” also includes those individuals.
Changes to These Terms
We may update these Terms from time to time. When we do, we’ll post the revised version on our site and update the “Effective Date.” If the changes are significant, we’ll give you at least 14 days’ notice before they take effect. If you continue using the platform after that, you’re accepting the updated terms. If you don’t agree, you may stop using the platform and close your account. Only AgentConnect may make amendments to this Agreement.
SECTION I. Overview of AgentConnect Services
As a registered user (“Member”), you receive a limited right to access and use our platform as outlined in this Agreement. While we strive for continuous service availability, we cannot guarantee uninterrupted access. We also link to third-party tools, which we don’t control or endorse.
1. Scope of Services
- Timely alerts and realtor activity reporting to help understand market activity (“Agent Follow”)
- Agent Follow features plus ability to create manual marketing content (“Agent Follow+ Flyers”
- Features to help build relationships along with automated marketing tools and services for professionals to support client engagement for transactions (“Agent Connect”)
2. Platform Access and License
We grant you a personal, non-transferable, limited license to use the AgentConnect Platform. This license is revocable and non-exclusive. You’re not acquiring any intellectual property rights beyond what’s explicitly granted in this Agreement.
3. Licensed Third-Party Data
Some of our services rely on data licensed from external providers (“Licensed Data”). This data is offered “as-is” and may include inaccuracies, omissions, or incomplete coverage. You're not permitted to redistribute this data without permission, and you use it at your own risk.
4. Advertising and Affiliate Links
Our platform may include advertisements and affiliate content to fund free services, some of which appear in your marketing materials. We may tailor ads to you based on your platform activity. We also receive compensation if you purchase products or services through affiliate links.
5. Service Changes
We reserve the right to modify, suspend, or discontinue features at any time, with or without notice. Some enhancements may be added to free services or offered as part of premium subscriptions.
6. Service Interruptions
While we aim for 24/7 uptime, technical issues or maintenance needs may cause temporary outages. We may also limit access to certain features to protect performance or maintain security.
7. External Services
Our platform may contain links to third-party websites or tools. These may have separate terms and privacy policies. We are not responsible for their content or reliability, and inclusion doesn’t imply endorsement.
8. Relationship with AgentConnect
Using our platform does not establish a professional, employment, or agency relationship with AgentConnect. You act independently, and we do not control your activities on the platform. We do not offer legal, financial, or real estate advice. Use of our services is at your discretion and risk.
9. Endorsements
A Member’s presence on our platform is not an endorsement by AgentConnect. Any such relationships are strictly between Members.
SECTION II. Extra Features AgentConnect Members
If you’re a real estate industry professional, you’ll have access to enhanced tools on our platform that help you work more effectively with peers and clients. We encourage professionals to form collaborative “Connected” relationships, but it’s always voluntary. Remember:
- No Member is obligated to connect with you.
- You and your connected partner can end the connection at any time.
- Once disconnected, either party may connect with someone new.
- Access to our services is not conditional on any other Member giving you business, benefits, or payment.
Important: You must never offer or accept anything of value in exchange for business referrals in a way that violates RESPA or Regulation X. You are responsible for ensuring full compliance with all relevant laws and licensure requirements.
1. Connections and Regulatory Compliance
a. Creating Connected Relationships
When two professionals connect through the platform, we refer to this as “Connecting.” These relationships are user-driven — AgentConnect doesn’t promote or mandate who should connect with whom.
Each Member is responsible for deciding whether and with whom to form a Connection. These relationships are intended solely for promotional purposes — no endorsement or recommendation is implied.
You agree that:
- You will not use the platform to exchange referrals for value.
- Any fee you pay for AgentConnect services goes directly to AgentConnect, not to any other Member.
You, and only you, are responsible for your behavior on and off the platform.
b. Activity Sharing
When Connected, some of your actions (like using marketing content) may be visible to your Connected partner. This fosters collaboration.
c. Ending a Connection
You can leave a Connection at any time — and your partner can, too. You’re also free to start a new Connection whenever you’d like. Connections are not tied to payments, services, or platform access.
If your account is canceled or suspended, all Connections linked to it will automatically end. AgentConnect also reserves the right to facilitate changes in Connections at its sole discretion.
2. Marketing Materials
AgentConnect provides Members with professionally designed marketing tools to support home sales — unless otherwise noted.
a. Creating and Editing Listings
Agents can:
- Automatically generate materials by inputting a property’s MLS number, or
- Manually create or edit them using listing details.
AgentConnect may also automatically create new materials when it detects a new property listing.
As an Agent, you confirm that:
- You are the listing agent or have permission to promote the listing, and
- You have the necessary rights to use and distribute the listing’s content, including photos and descriptions.
b. Branded Materials
You can personalize these marketing materials using your public profile. If you are Connected with another Member, their branding may appear alongside yours. You consent to this when using the platform.
3. Legal and Licensing Compliance
a. No Referrals Allowed
You agree not to use the platform to exchange leads or business opportunities for anything of value in violation of RESPA or other applicable regulations. All fees paid to AgentConnect must reflect the fair market value of the services provided and are not to be interpreted as referral fees or co-marketing agreements.
b. Follow the Law
When using our services, you are required to comply with all local, state, and federal laws applicable to your profession — including, but not limited to:
- The Truth in Lending Act
- The Real Estate Settlement Procedures Act (RESPA)
- The Gramm-Leach-Bliley Act
- The Fair Credit Reporting Act
- Fair lending and housing laws
You must also hold all necessary licenses (e.g., mortgage originator, real estate agent) and keep them in good standing.
AgentConnect reserves the right to access and review your content and profile, and to disclose this information if:
- Required by law,
- Needed to respond to complaints or legal claims, or
- Necessary to enforce these Terms.
SECTION III. Fees
AgentConnect aims to provide meaningful tools to both Consumers and Real Estate Professionals.
Paying for a service does not grant any special privileges such as guaranteed Connections, lead sharing, or co-marketing relationships. Payments are strictly for access to specific platform features.
1. Free Access
Many AgentConnect features are offered at no cost to connected realtors (Agents). Creating a free Agent Account grants access to these core tools. We may fund these offerings through platform advertisements and affiliate relationships
2. Paid Services for Real Estate Professionals
If you’re a Mortgage Loan Officer or Professional (MLOP) certain services and features require a paid subscription or one-time fee. These may include, but aren’t limited to:
- Access to Agent Follow
- Access to Agent Follow+ Flyers
- Access to Agent Connect
- Access to Agent IQ
- Specialized marketing tools branded for lenders
- Additional services introduced by AgentConnect in the future
- By paying for any of these features, you agree that:
- The price you pay reflects the fair value of the services alone
- Your payment is not contingent on being Connected with a specific partner
- You’re not entering into a co-marketing or lead generation agreement with either AgentConnect or another Member / MLOP
3. Shared Activity Visibility
For Agents: By using the platform, you understand that some of your activity may be visible to MLOPs you’re associated with.
SECTION IV. Your AC Account
To use most AgentConnect features, you’ll need to create an account ("AC Account"). That means sharing some personal or professional details with us. You’re responsible for ensuring that all the information you provide is accurate and kept up to date. For real estate professionals, this also includes licensing and compliance details that we use to generate marketing materials and display your public profile.
You are fully responsible for any activity that happens under your AC Account. If you’re under an Enterprise Contract, your administrator has special rights over your account.
1. Creating an Account
To register, you must be at least 18 years old and located in the United States, or represent a legally established U.S.-based organization. If you’re registering on behalf of a business, you confirm that you’re authorized to enter into agreements and grant permissions on its behalf.
2. Account Security
You may only create one AC Account unless we approve additional accounts. You cannot transfer your account or create one for someone else without proper authorization. Keep your login credentials secure, and let us know immediately if you suspect any unauthorized access. You’re liable for all activity unless it happens without your knowledge and despite reasonable care.
3. Registration Details
Setting up your account requires a password and contact information. If you’re an agent, you may need your MLS membership information. You’re responsible for the accuracy of all details. In some cases, AgentConnect staff may assist in creating your account, but you remain responsible for the information provided.
4. MLSO / Agent Public Profile
As a Member, your profile will be visible to other users and used in marketing materials. This includes your license number, brokerage or lender affiliation, and MLS memberships. It’s your job to make sure your profile information is accurate and to notify us if you can’t update it yourself. You are fully accountable for any compliance issues arising from incorrect profile data.
5. Verifying Compliance Information
AgentConnect may require verification of the licensing or other compliance details you provide. You authorize us to contact your company to confirm these details.
6. Enterprise Accounts
If your company has an Enterprise Contract with AgentConnect:
a. As a Member
Your administrator may create or update your account, populate your public profile, manage Connections, and suspend or terminate your access. They can also coordinate with us to confirm or revise your information.
b. As an Administrator
You accept responsibility for all account actions taken on behalf of your team. You must inform AgentConnect when someone leaves your organization so we can adjust access accordingly.
c. Enterprise Add-ons
You and AgentConnect may agree on additional services and custom pricing through a signed Statement of Work.
SECTION V. Fees and Payment Terms
You agree to pay for any AgentConnect services you purchase. If you’ve subscribed to a recurring plan, you’ll continue being billed until you cancel. Subscriptions are non-refundable, even if you stop using the service.
1. Purchasing Services
Only active account holders can make purchases. We reserve the right to accept or deny any purchase for any reason.
2. Payment Terms
When you place an order, the price you’re charged is the one listed at the time of purchase. By completing a purchase, you confirm:
- You’re authorized to use the payment method
- Your billing information is accurate
- You understand and accept these Terms and our Privacy Policy
- You agree to let us charge your card or payment method directly or through our payment partners
- You’re responsible for all charges unless due to unauthorized use beyond your control
In some cases, you may need to sign additional agreements with us or our payment processors.
3. Taxes
Applicable sales taxes will be added to your total, as required by law.
4. Subscription Payments
If you opt for a recurring subscription, we’ll automatically charge your payment method on a regular schedule. You won’t need to manually approve each charge. These fees are non-refundable. If your payment method expires, your card provider may update your details to avoid service disruption.
5. Subscription Duration
Your subscription will renew automatically at the end of each term unless you cancel it. Renewal terms match your original subscription length.
6. Canceling Subscriptions
You can cancel at any time, but the cancellation only takes effect at the end of your current billing cycle. Cancellation doesn’t affect other services or subscriptions.
7. Price Changes
Subscription fees may change. If they do, we’ll notify you 30 days before the new rate applies. If you continue using the service, you agree to the new fee.
8. Trials and Promotions
Free trials may be offered, and you’ll be charged once the trial ends unless you cancel in advance. Any promotional discounts are subject to their stated terms.
9. Late or Disputed Payments
If payments are late or disputed, we may apply penalties or recover fees for collections.
SECTION VI. Content and Intellectual Property
We own our platform content and you own the content you contribute. When you share content through the platform, you grant us a license to use it to operate and promote the platform.
1. Content Definitions
"Agent / MLOP Content" includes anything you upload (e.g., photos, text, videos). "AC Content" includes all materials created by or licensed to AgentConnect. Together, they’re referred to as "Collective Content."
2. Our Rights
All platform-related intellectual property belongs to us or our partners. You may not reproduce, alter, distribute, or exploit any part of the platform or its content without permission.
3. Your Rights
You grant us a license to use your Agent / MLOP Content to provide our services. This includes displaying, distributing, modifying, and sharing your content as needed for marketing and platform functionality.
4. Your Responsibilities
You must have the rights to use and share all content you post. You’re responsible for any legal issues tied to your content. If we upload content for you, you’re still responsible for its accuracy and legality.
5. Feedback
We welcome your suggestions. Any feedback you provide becomes our property, and we may use it freely without compensation.
SECTION VII. Conduct Guidelines
We expect users to be truthful, respectful, and lawful. The following actions are prohibited:
- Using the platform outside the U.S.
- Violating laws, this Agreement, or our Privacy Policy
- Impersonating AgentConnect or misusing our brand
- Building databases or models from platform data
- Scraping or copying content without permission
- Spamming or unsolicited messaging
- Interfering with client-agent relationships
- Misrepresenting professional relationships
- Sharing confidential or personal information improperly
- Using the platform for commercial purposes not approved by AgentConnect
- Posting harmful, offensive, or illegal content
- Discriminating or harassing other users
- Misusing tools, trademarks, or source code
- Circumventing platform security or using automated tools to access dat
AgentConnect reserves the right to monitor and remove content or users that violate these rules. We may suspend or terminate accounts as needed.
SECTION VIII. Other Terms and Conditions
- Termination: This agreement begins when you first use our platform or accept the Terms and remains in effect until canceled by either party.
- Effective Date: The Agreement is effective when you accept it and lasts until your subscription ends or your account is deactivated.
- Canceling: You may cancel anytime by contacting support. If you have a paid subscription, cancellation follows the terms in Section V.
- Our Right to Terminate: We may suspend or cancel your account if you:
- Breach these terms
- Fail to pay subscription fees
- Pose a security or legal risk
- Instead of termination, we may choose to limit your account or remove specific content.
- Consequences: If we suspend or terminate your access, you’re not entitled to a refund. Deleted content will not be restored. You may not register a new account or use someone else’s.
- Disclaimers: You use the platform at your own risk. We provide it “as is,” with no guarantees of performance, accuracy, or reliability. You’re responsible for evaluating any legal or business decisions based on your use of the platform. These disclaimers apply as broadly as legally permitted.
- Limitation of Liability: To the extent allowed by law, AgentConnect is not liable for indirect, special, or incidental damages — including data loss, profit loss, or business interruptions — related to your use of the platform. If we are found liable, our total responsibility won’t exceed $100 or the amount you’ve paid us in the past 12 months, whichever is greater.
- Indemnification: You agree to defend and hold AgentConnect harmless from any claims or damages resulting from:
- Your use of the platform
- Your violations of the Terms
- Your interactions with others
- Any legal violations tied to your activity
- Arbitration and Dispute Resolution: Before pursuing legal action, both sides agree to attempt informal resolution. If that fails, any dispute must be resolved through binding arbitration under AAA rules.
- Arbitration is mandatory for most disputes
- Legal claims over IP or urgent injunctions are exceptions
- Arbitration may occur in your county, Orange County, or virtually
- No class actions or group claims are permitted
- You and AgentConnect waive the right to a jury trial
- You may opt out of arbitration changes within 30 days
SECTION IX. Listing Data
AgentConnect licenses property listing data from third parties and provides it to qualified users. Real estate professionals must:
- Provide MLS membership info
- Remain in good standing
- Sign any necessary agreements
We don’t guarantee the accuracy or coverage of listing data. You agree to treat it as confidential and comply with data use restrictions.
Consumers may access listing data only through their agent, and only for personal, non-commercial use related to a real estate transaction.
Agents and MLOPs must also follow information security standards as required by the Gramm-Leach-Bliley Act.
SECTION X. General Terms
1. Headers and Summaries
Section headings are for reference only. If there's a conflict, the full text controls.
2. Governing Law
California law governs these Terms. Legal proceedings (outside arbitration) must be filed in Orange County, CA.
3. Entire Agreement
This document is the full agreement between you and Insellerate, LLC unless otherwise supplemented.
4. Severability
If one provision is unenforceable, the rest still apply.
5. No Waiver
Failing to enforce a right doesn’t waive it.
6. Open Source
Some parts of the platform may include open-source software.
7. Google Maps
Use of Google services is subject to Google’s additional terms.
8. No Transfers
You can’t transfer your rights under this Agreement without our permission. We can transfer ours.
9. Digital Notices
We’ll send notices electronically — by email, platform message, or text.
10. SMS Terms
By opting in to texts, you consent to receive messages, including marketing content. Message and data rates may apply. You can opt out anytime by texting STOP.
